Terms of Sale

These terms explain how quotes, orders, payments, delivery, and product claims work when you purchase from ContainerSpy.

Effective August 31, 2026

ContainerSpy is a trade name of Paragraph LLC ("ContainerSpy," "we," "us," or "our"). By submitting an order or quote request, approving a written quote, or paying an invoice, you agree to these Terms of Sale.

Your website submission does not collect payment or guarantee inventory. A sale becomes final only after we issue a written confirmation, you approve it, and payment is accepted.

1. Quotes and order acceptance

Website prices and delivery estimates are invitations to request an order, not binding offers. We confirm current inventory, condition, delivery method, site details, taxes, fees, and the final total in writing before requesting payment.

Unless the written quote states otherwise, quoted pricing and availability expire 24 hours after issuance. We may decline or revise an order before payment if inventory, carrier availability, site access, pricing, taxes, or other material information changes. We will not substitute a materially different container without your approval.

2. Products and condition

The written confirmation controls the container type, size, condition, quantity, and any included modifications. Photographs on the website are representative unless the confirmation identifies them as photographs of the specific unit.

New or one-trip containers may have normal handling marks, small dents, surface scratches, decals, or color variation from manufacturing and transportation. These cosmetic differences are not defects unless the written confirmation promises a specific cosmetic standard.

3. Pricing, taxes, and payment

Your final quote will itemize the container price, delivery, applicable taxes, and any disclosed payment or service fees. A payment-processing fee may apply to card payments where permitted by law and will be shown before payment. ACH and wire instructions, when offered, will appear only on the approved invoice.

Payment is due within the quote window unless the invoice states otherwise. We do not ask customers to send payment to an account that is not identified on an official ContainerSpy or Stripe invoice. You are responsible for applicable taxes unless you provide valid exemption documentation before invoicing.

4. Delivery

Delivery is subject to our Delivery Requirements. You must provide complete and accurate access, surface, clearance, placement, and door-direction information. The driver has final authority to determine whether entry and placement can be completed safely. If delivery cannot be completed because the site does not match the information you confirmed, a restocking fee of 15% of the container price (minimum $350) plus the cost of the delivery attempt and return trip applies, as described in our Refund Policy.

Delivery dates and windows are estimates unless expressly guaranteed in writing. Weather, traffic, equipment availability, permitting, and site conditions can affect timing. If we cannot deliver within a promised period, we will offer a revised date or cancellation and a prompt refund as required by law.

5. Inspection and claims

Inspect the container when it arrives, before the driver leaves when safely possible. Note visible shipping damage or a material mismatch on the delivery document and contact us promptly with photographs. Concealed issues should be reported as soon as reasonably possible after discovery.

We will review a timely claim and, when the container materially differs from the written confirmation, provide an appropriate repair, replacement, price adjustment, or refund. Nothing in these terms limits a right that cannot legally be waived.

6. Cancellations and refunds

Our Cancellation and Refund Policy is part of these terms. Customer-requested cancellations after we reserve equipment, begin modifications, or commit a carrier may be reduced by documented, nonrecoverable costs that were disclosed in the quote or approved before they were incurred.

7. Suitability and customer use

You are responsible for determining whether a container is suitable and lawful for your intended use, location, foundation, occupancy, modification, loading, and permitting requirements. Unless expressly included in writing, we do not provide engineering, architectural, environmental, zoning, code, foundation, or hazardous-material advice.

8. Warranties and limitations

We stand behind the written description in your confirmation and any express warranty stated there. Except for those commitments and warranties that cannot be excluded by law, containers and services are provided without other express or implied warranties, including implied warranties of merchantability or fitness for a particular purpose.

To the fullest extent permitted by law, Paragraph LLC will not be liable for indirect, incidental, special, punitive, or consequential damages. Our aggregate liability arising from an order will not exceed the amount paid for the product or service giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

9. General terms

These terms, the final written quote, the invoice, and incorporated policies form the agreement for your order. If they conflict, the final written quote controls for order-specific details. Texas law governs the agreement, without regard to conflict-of-law rules, except where applicable consumer law requires otherwise.

We may update these terms prospectively. The version in effect when you approve the final quote applies to that order.
